Forming a Company in China
Forming a company in China is complex because of the country's bureaucracy and legal framework. However, China has been attracting many foreign investors due to its quickly-developing economy and infrastructure, and is currently ranked as the world's 3rd largest economy in the world (after the USA and EU).

There are three of company formation in China, the 100% foreign owned WOFE (Wholly-Owned Foreign Enterprise), Foreign-Invested Commercial Enterprise (FICE) and a Joint Venture Enterprise. It is also possible to set up a China Representative Office for non-transactional activities and marketing work.

Since its accession to the World Trade Organization (WTO) in 2001, China has made substantial legal and regulatory progress. In short, investors starting a company in China now receive better protection for intellectual property rights. Increasing numbers of investors are being encouraged to form companies in China.

The most popular form of international corporate structure in China is WOFE. To set up a WOFE firm in china the following applications are required:
i) Submission of a feasibility study;
ii) Submission of appointments (Directors, shareholders and legal secretary);
iii) Providing financial references; and
iv) Submission of the lease agreement for the company's office in China.
All documents are submitted in Chinese.

The Chinese government has developed areas within mainland China classed as Special Economic Zones (SEZs) to encourage foreign investment. Companies who wish to form within the SEZ areas can benefit from a wide range of tax concessions. However, a foreign-invested entity can not own land in a SEZ and normally rent out land on a long-term lease.
